If a notice of retraction is notified during the cooling-off period, this is the case from the date the customer signed the notification. Ask a business lawyer if an undisclosed client is legal in your state. In a merchant agreement, it is often stated the nature of the relationship between the wholesaler and the dealer, as well as what is not the relationship. The agreement may, for example, indicate that the relationship is that of the wholesaler and the dealer, not that of the client and the agent. Normally, the general plenipotentiary is a commercial representative, but there are circumstances in which a person may appoint a general agent for personal use. A common form of personal general agent is the person who holds the power of another. It is a transfer of powers to another to act in its place; it can be obtained by the execution of a simple form as presented in Figure 25.2 “General Power.” Normally, the power of attorney is used for specific purposes, for example.
